The Transfer of Undertakings (Protection of Employment) Regulations 2006 overhauled this complex area of law the details of which are set out in the article in the news section of the employment home page.

Employment Due Diligence is a key part of any business acquisition whether that is by way of a share or asset purchase. The skills and know-how of the workforce are an essential part of the value of any business bought as a going concern and we have substantial experience in advising clients on how secure that aspect of the asset they are purchasing. For example, do the contracts of the key managers in the business you are buying prevent them leaving and setting up in competition next door and soliciting the clients you thought were going to be the cornerstone of the business.

Where existing liabilities will transfer to the Purchaser by virtue of TUPE or otherwise we can assist in drafting the appropriate indemnities in respect of liabilities to employees which are an essential element of any business acquisition. We also have experience in helping prospective purchasers ensure they have identified the direct and indirect employment costs. Not all such costs are immediately discernable from the payroll, such as custom and practice Christmas bonus, pre-existing pay awards and pay increases triggered by completion of in-service training schemes.
